Description
The Senior Counsel will lead project teams and will interface directly with clients, lead legal assignments, impact and sustain business development activities. The Senior Counsel will challenge to develop and expand cross-border M&A practice of the Firm.
Our M&A and Corporate Practice is best known for advising on cross-border and domestic M&As, and disposals, as well as equity capital markets transactions, joint ventures, PE backed acquisitions, spin-offs, split-offs, carve-outs and other strategic alternatives and corporate reorganizations. We also advise clients on corporate governance and approaches relating to restructurings/re-domiciliation and antitakeover planning.
Job Responsibilities:
Project management of M&A transactions and cross-border projects including working with other members of the firm (such as paralegals, trainees, partners and other members of staff), members of other offices or departments, overseas counsels
Structuring of cross-border M&A transactions
Take the lead on or contribute to projects pertaining to M&A in close cooperation with the firm s practices (tax practice, IP practice, FinTech practice etc.) including drafting and reviewing agreements (SPAs, SHAs, project financing and other ancillary agreements related to the transactions process), as well as other legal documents, memoranda, and legal opinions;
Supervising the project teams in conducting legal research on EU, US, Middle East, Russian and other foreign law and in interpreting laws, rulings and regulations for clients, coordinating due diligence and closing process;
Negotiating key transactional documents
Thought leadership and training, including client facing and junior team members supervision
Business development, including improving your skills opposite clients and equipping you to win business
Supporting the firm in all aspects of a sophisticated M&A practice;
Job Qualifications:
5-6+ years of PQE with a law firm or prominent company with a well-developed M&A legal practice
Excellent project management skills including experience in management with a large number of streams;
Work experience in a wide variety of industry sectors, including FMCG, energy, finance, IT and VC, infrastructure, real estate etc.;
Strong academic background and education credentials, enabling to offer bold solutions, UK/US Law qualification;
Excellent presentation skills with a strong commercial and legal mindset to be able to advise clients on various issues and conclusions understanding of their commercial drivers;
Flexibility, very good leadership skills with experience in working as a head of a multi-disciplinary and multi-jurisdictional team
Willingness to act as a mentor for associates and other junior colleagues.
Excellent communication skills
Excellent written skills (both Russian and English)
The focus should be on the English Law governed transactions. Knowledge of Cyprus, Cayman, BVI, Guernsey, UAE and other trendy jurisdictions applicable in M&A/Private Equity deals is a plus. Russian Law experience is also a plus.
